Announcement to Members of Positions Up For Election at 2024 Annual Meeting

To all WAHC Members:

Beginning Feb 1, 2024, we will be accepting nominations for those board positions with expiring terms at the end of this season (specifically, at the Annual Meeting of Members tentatively scheduled for  April 22, 2024); the positions include:

  • President (Term 5/1/2024-4/30/2026)
  • Secretary (Term 5/1/2024-4/30/2026)
  • VP - Hockey Operations (Term 5/1/2024-4/30/2026)
  • VP - Youth 8&Under (Mites, MiniMites, Termites) (Term 5/1/2024-4/30/2026)
  • VP - JrGold/Bantam (Initial 1-Yr Term 5/1/2024-4/30/2025)
  • VP - Squirt/Peewee (Initial 1-Yr Term 5/1/2024-4/30/2025)
  • VP - Communications/Fundraising (Term 5/1/2024-4/30/2026)

General descriptions of our Board positions are included in our Bylaws; and the USA Hockey's sample position descriptions are linked on our Position Descriptions page. Questions about areas of responsibilities, time commitment and generally what-to-expect may be best addressed by speaking directly with the board member currently in the position you are seeking and/or with the WAHC Administrator. Please don't hesitate to reach out.

Anyone interested in running should submit a Candidate Letter of Interest (see content guide below) to the WAHC Administrator at administration@woodburyhockey.com by February 29 March 20, 2024. 

Active members in good standing with the WAHC are eligible to run for the board. Board positions are a 2-year commitment.  All Board members are credited with their volunteer hours for the season.  

The election will be held in person at our Annual Membership Meeting tentatively scheduled for April 22, 2024 at the MHealth Fairview Sports Center.

​The Officers (exercising the functions of President, Vice-President, Secretary, and Treasurer) of the Corporation shall be elected by the Members of the Corporation at the Annual Meeting.

The Officers are listed below and grouped by their term expiration.

Nominations - Time Line

ByLaws Section 3.04

The nominating procedure shall be as follows.
 

JANUARY 31, 2024 Nomination Process posted  

A. The Secretary shall notify the Members entitled to vote of the positions up for election on the Board by publication on the WAHC website, which notice shall announce the procedure for interested Members to follow if they wish to be nominated for a position on the Board of Directors.  The notice on the website shall be posted by the end of January.

Feb 1 through Feb 29, 2024Mar 20, the WAHC Nominations Committee is accepting letters from individuals interested in being considered for the Board Positions with terms expiring 4/30/2024 and NEW Positions added per Special Meeting Feb 28, 2024 for a two year term (5/01/2024-4/30/2026) on the Woodbury Area Hockey Club Board of Directors.  If your nomination is accepted, your letter will be posted on the WAHC website and your name will be listed on the voting ballot for our membership's consideration.  Please send your letter (or questions) to administration@woodburyhockey.com.

B. The Nominating Committee shall notify the Secretary of the Corporation of its nominations at the March Board of Directors meeting.

C. The Secretary shall notify the Members entitled to vote of the individuals nominated by the Nominating Committee by publication on the WAHC website.  The notice on the website shall be posted by the end of March.


D. Subject to Section 3.04, Paragraph E, persons who are not nominated by the Nominating Committee shall not be eligible for election to the Board of Directors.

Voting

Rules & Requirements for voting are set forth in the Woodbury Area Hockey Club Bylaws.  Certain sections pertaining to the vote are included below - left for your convenience.  You can view the complete Bylaws by following the link below - right.


Membership Defined

Section 2.01   Membership

Membership in this Corporation shall be open to all adults residing within the cities of covered by the Corporation’s affiliate agreement with Minnesota Hockey, as such may be amended from time to time. The membership of the Corporation shall consist of the following classifications: Family and Honorary. No one person can hold more than one membership.
 
A.     Family Membership.  Any Family desiring to enroll one or more of its members in any recreational program offered by the Corporation shall pay the annual membership dues/fees, and upon payment of the annual membership dues, such Family shall be considered a Family Member.
For purposes of these Bylaws, a Family shall be considered to consist of members of the same family (natural parents/legal guardians and children).  Family membership is limited to two adults per Family Membership provided all fees assessed for the child's participation are paid when due. Membership shall be suspended if a Member fails to pay any portion of such fee when due. Memberships will be based on the information received on the registration form at time of sign-up.
B.     Honorary Membership.  Any adult may request Honorary Membership in the corporation by request to the Board of Directors. Such membership shall be at the discretion of the Board and shall automatically terminate at the end of each fiscal year subject to reinstatement by the Board. No Honorary Membership shall be granted in the month of April. The head coaches of Woodbury High School boys and girls hockey teams and head coaches of all WAHC teams shall automatically be Honorary Members of the Corporation.

...The membership year for the Members of this Corporation shall be September 1 through August 31

Section 2.08   Members list for Meeting

The Board of Directors shall fix a date not more than thirty (30) days before the date of a meeting of the Members as the date for determination of the Members entitled to notice of the meeting. If the Board of Directors fails to set such a date, the date shall be the thirtieth (30th) day before the date of the meeting. When a date is so fixed, only the voting Members on that date are entitled to Notice of and permitted to vote at that meeting of Members.

A.     Preparation.  After fixing a record date for a meeting, the Secretary shall prepare a list of the names (in alphabetical order) and addresses of each Member entitled to vote at the meeting.
B.     Inspection.  Beginning two (2) business days after notice of the meeting is given, the list shall be available at the principal office of this Corporation for inspection and copying on written demand by any Member (or the agent or attorney of any Member), at the Member's expense, for the sole purpose of communication with other Members concerning the meeting. The list shall be made available through the date of the meeting and at the meeting.

Section 2.03   Voting.

A.     Family Members.  Each Family Membership shall be entitled to one (1) vote per adult (maximum of two (2) votes per Family Membership) at any Annual or Special Meeting.  The vote must be cast in person. Only those Family Members whose dues are current and in full compliance with these Bylaws shall be allowed to vote.
B.     Honorary Members.  Honorary Members shall be entitled to one (1) vote at any Annual or Special Meeting. The vote must be cast in person.
C.     Cumulative Voting.  Cumulative voting shall not be permitted


Vacancies due to Resignation (to fulfill unexpired term) - _____TBD____

By Laws: Section 3.06   Vacancies.

Vacancies on the Board resulting from the death, resignation, or disqualification of a Director shall be filled by the Members at a Special Meeting called for such purpose, or at the next Annual Meeting. If the vacancy is filled at a Special Meeting, nominations for the vacated Director's seat shall be accepted from the floor. Each Director elected under this Section to fill a vacancy holds office until the next Annual Meeting. At such Annual Meeting, a Director shall be elected to fulfill the unexpired term of the previous Director who died, resigned or was disqualified.
